Terms of Service

These Terms of Service (the "Terms") govern your access to and use of Mute (the "Service"), a web application that lets you capture thoughts and tasks and organise them on a spatial board. The Service is operated by Sonder ("Sonder", "we", "us" or "our"), a sole operator based in Australia. By creating an account or otherwise using the Service, you agree to be bound by these Terms.
1. Acceptance of these Terms
By accessing or using Mute you confirm that you can form a binding contract with us and that you accept these Terms and our Privacy Policy. If you do not agree, you must not use the Service. If you are using the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
2. Description of the Service
Mute is a calm, spatial focus and productivity board. It lets you quickly record thoughts and tasks, and arrange, group and revisit them visually. Your content is stored on a per-user basis so that it is available to you across sessions. We may add, change or remove features over time as the Service evolves.
3. Accounts and your responsibilities
To use most features you need an account. You agree to provide accurate information, to keep your login credentials secure, and to be responsible for all activity that occurs under your account. You must notify us promptly if you suspect any unauthorised use. You are responsible for the content you create and store, and you should keep your own copies of anything important to you.
4. Acceptable use
You agree not to use the Service to:
- break any applicable law, or infringe the rights of others;
- upload or store unlawful, harmful, abusive or infringing content;
- attempt to gain unauthorised access to the Service, other accounts, or our systems and infrastructure;
- interfere with, disrupt, overload, or reverse engineer the Service, except to the extent that restriction is prohibited by law;
- resell, sublicense or otherwise commercially exploit the Service without our written permission.
5. Subscriptions, billing and refunds
Mute is launching free of charge. We may introduce paid subscription plans in the future, and the terms in this section apply if and when you choose a paid plan.
- Plans and pricing. Paid plans are billed in advance on a recurring basis (for example, monthly) at the price shown at the time of purchase. Prices may change, but we will give you reasonable notice before a change affects you.
- Payment processing. Payments are handled by our third-party payment processor, Stripe. We do not store your full card details. Your use of payment features is also subject to Stripe's own terms.
- Auto-renewal. Paid subscriptions renew automatically at the end of each billing period until cancelled, and you authorise us (via Stripe) to charge the applicable fee for each renewal.
- Cancellation. You may cancel at any time through your account settings or the billing portal, or by contacting us. Cancellation takes effect at the end of the current billing period, and you keep access to paid features until then.
- Refunds. Except where a refund is required by law (including the Australian Consumer Law), fees already paid are non-refundable and we do not provide refunds or credits for partial billing periods or unused time. Nothing in these Terms limits any non-excludable consumer guarantee or statutory right you may have.
6. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any data will never be lost. Certain rights and guarantees that cannot be excluded under the Australian Consumer Law are not affected by this section.
7. Limitation of liability
To the maximum extent permitted by law, Sonder will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits, goodwill or anticipated savings, arising out of or relating to your use of (or inability to use) the Service. Where our liability cannot be excluded but can be limited, our total liability is limited, at our option, to resupplying the Service or refunding the amount you paid for it in the three months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded.
8. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. On termination, your right to use the Service ends. You may request export or deletion of your data as described in our Privacy Policy. Sections that by their nature should survive termination (such as disclaimers, limitations of liability, and governing law) will continue to apply.
9. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to let you know, for example by posting the updated Terms here and updating the "Last updated" date. Your continued use of the Service after the changes take effect means you accept the revised Terms.
10. Governing law
These Terms are governed by the laws of Australia, and you submit to the non-exclusive jurisdiction of the courts of Australia. This does not deprive you of the protection of any mandatory consumer laws in your place of residence.
